This Terms of Use is a legal agreement between you and Vendaw, setting out the complete terms and conditions upon which you may use Vendaw’s website and mobile application. By accessing or using the Platform, you agree to be bound by the terms set out below.

1. Introduction

This Terms of Use is a legal agreement between you, a user (“You” or “Your”), and Vendaw (“Vendaw” or “Us” or “Our” or “We”). This agreement, together with our Privacy Policy on Vendaw’s platform (collectively referred to as the "Terms of Use"), sets out the complete terms and conditions upon which You may use the services on Vendaw’s website (the "Website") and mobile application (the "App"). It also governs the relationship between You and Vendaw, and any claims that may be made by You or Vendaw in relation to the Services.

2. Registration and Account

You may not register on our platform if you are under 15 years of age (by using our platform or agreeing to these general terms and conditions, you warrant and represent that you are at least 15 years of age).

If you register an account on our platform, you agree to:

Keep your password confidential.
Notify our team in writing immediately if you become aware of any disclosure of your password.
Be responsible for any activity on our platform arising out of any failure to keep your password confidential.

Your account shall be used exclusively by you and must not be transferred to any third party. If you authorize any third party to manage your account, it shall be at your own risk. You may cancel your account by contacting us.

3. Terms and Conditions of Sale

You acknowledge and agree that:

The Platform provides an online location for vendors to sell and buyers to purchase products.
Vendaw accepts binding sales on behalf of vendors, but (unless Vendaw is indicated as the vendor) is not a party to the transaction between the vendor and the buyer.
A contract for the sale and purchase of a product will come into force upon the buyer’s confirmation of purchase via the Platform.

The vendor’s terms of business shall govern the contract, but the following provisions will be included:

The price must include all taxes and comply with applicable laws.
Delivery charges, packaging, handling fees, etc., are only payable if clearly stated in the product listing.
Products must meet quality and safety standards and conform to the description provided by the vendor.
The vendor must have legal ownership or rights to supply the product(s).

4. Refunds and Cancellation

All sales made on our platform are final. We do not offer refunds for products or services once the transaction is completed. This applies to:

Products purchased
Services rendered
Digital downloads or subscriptions

Cancellations are not accepted after purchase is completed. However, in certain circumstances, exceptions may be considered on a case-by-case basis. Please contact our customer service team for more information.

5. Payments

You must make payments according to the Payments Information and Guidelines provided on the Platform.

6. Rules about Your Content

In these terms, "your content" refers to all communications on the Platform, including reviews, feedback, and comments.

Your content must:

Be accurate, complete, and truthful.
Not be offensive, obscene, indecent, or illegal.
Not infringe upon any intellectual property rights or privacy laws.

You must not submit content that is or has been the subject of legal proceedings, nor interfere with transactions or communications outside of the Platform.

7. Our Rights to Use Your Content

By submitting content, you grant Vendaw a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, and distribute your content across all platforms and media. We reserve the right to remove content at our discretion.

8. Use of Website and Mobile Applications

You may view and print pages from our website for personal, non-commercial use. You agree not to:

Republish or exploit content from the website.
Use our website for any illegal or harmful activities.
Engage in data mining, scraping, or any automated activity on our website without permission.

9. Copyright and Trademarks

Vendaw and its licensors own all intellectual property rights in the website and its content. No permission is given to use these trademarks, and unauthorized use may constitute infringement.

10. Data Privacy

Users agree to the processing of their personal data in accordance with Vendaw’s Privacy and Cookie Notice.

11. Due Diligence and Audit Rights

We operate an anti-fraud compliance program and reserve the right to perform due diligence checks on all users. You agree to provide all information and documentation as requested for verification or legal purposes.

12. Vendaw’s Role as a Platform

Vendaw facilitates transactions between buyers and vendors but is not responsible for product quality, accuracy of vendor information, or transaction disputes. In case of issues, recourse must be sought from the relevant vendor.

13. Limitations and Exclusions of Liability

We limit our liability to the maximum extent permitted by law and do not accept liability for losses arising out of events beyond our control, including interruptions, system failures, or losses of data.

14. Breaches of Terms and Conditions

If you breach these terms, we may suspend or terminate your account and restrict access to the Platform.

15. Variation

Vendaw may revise these terms from time to time, and the revised terms will apply from the date of publication.

16. Severability

If any provision of these terms is determined to be unlawful or unenforceable, the rest of the provisions will continue in effect.

17. Third Party Rights

These terms are for the benefit of Vendaw and its users, and are not intended to benefit any third party.

18. Law and Jurisdiction

These terms are governed by the laws of the relevant territory, and any disputes will be subject to the exclusive jurisdiction of the courts of that territory.

19. Our Company Details and Notices

You can contact us using the contact details provided on our platform or through our social media channels. Notices will be sent electronically via email or posted on the Platform.
